## COMMISSION FEES
 
Only when an item is purchased, is a commission fee charged. The amount of the commission fee is 9.5% + seller fee. The commission fee will be deducted from the listing price.

Cancellations on orders will lead to a higher commission fee. All sellers begin with a seller rating of 90 and the minimum commission fee of 9.5% + the seller fee.

For each seller cancellation, 10 points will be deducted from the seller rating. For each successful sale, 2 points will be added to the seller rating.

Seller ratings and their associated fees are as follows: 

* Seller rating of 90 or above: 9.5% commission fee + seller fee

* Seller rating between 70-89: 15% commission fee + seller fee

* Seller rating between 50-69: 20% commission fee + seller fee

* Seller rating below 50: 25% commission fee + seller fee

In addition to a 25% commission and seller fee, those with a rating below 50 may be subject to an account review that could result in a suspension from submitting items for sale on GOAT.

If you are a seller with a seller rating below 90, you can decrease your commission fee to the minimum of 9.5% + the seller fee with successful sales (i.e., confirming and shipping authentic items on time).
 
## CASH OUT FEES
 
When earnings are deposited through ACH direct deposit or PayPal, a 2.9% cash out fee will be applied. During promotional campaigns (e.g. free ACH direct deposits), GOAT may elect to reduce the cost of the cash out fee or waive it altogether. Sellers may cash out if their total earnings are greater than $25.

# COPYRIGHT AND INTELLECTUAL PROPERTY POLICY
 
1661, Inc. (“GOAT”) respects the intellectual property rights of others and expects its users to do the same. It is GOAT’s policy, in appropriate circumstances and at its discretion, to disable and/or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others.
 
## NOTIFICATION OF COPYRIGHT INFRINGEMENT
In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office website, GOAT will respond expeditiously to claims of copyright infringement committed using the GOAT website accessible at [www.goat.com](https://www.goat.com) (“Site”), our mobile applications, and any other properties that link to these Terms of Use (collectively, the “Service”) that are reported to GOAT’s Designated Copyright Agent identified below.
 
If you are a copyright owner, or are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Service by providing GOAT’s Designated Copyright Agent (specified below) a DMCA Notice of Alleged Infringement (“Notice”) containing the following information:
 
* Your full legal name and your electronic or physical signature.
 
* Identify the copyrighted work that you claim has been infringed, or, if multiple copyrighted works are covered by this Notice, you may provide a representative list of the copyrighted works that you claim have been infringed.

Upon receipt of the Notice, GOAT will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Service.

If you believe that your trademark (“Mark”) is being used on the Service by a user in a way that constitutes trademark infringement, please provide GOAT’s Designated Copyright Agent (specified above) a notice containing the following information:

## NOTIFICATION OF OTHER INTELLECTUAL PROPERTY (“IP”) INFRINGEMENT:
 
If you believe that some other IP right of yours is being infringed by a user, please provide GOAT’s Designated Copyright Agent (specified above) a notice containing the following information:
 
* Your full legal name and your electronic or physical signature.
 
* Information reasonably sufficient to permit GOAT to contact you or your authorized agent, including a name, mailing address, telephone number and, if available, an email address.
 
* Identification of the IP alleged to have been infringed, including (i) a complete description or explanation of the nature of the IP, (ii) evidence that you own the IP in the relevant jurisdiction, including copies of relevant patents, registrations, certifications or other documentary evidence of your ownership, and (iii) a showing sufficient for GOAT to determine without unreasonable effort that the IP has been infringed.
 
* Information reasonably sufficient to permit GOAT to identify the use being challenged.

Counter notification, as permitted by applicable law and, in particular, the Digital Millennium Copyright Act, may be sent to GOAT’s Designated Copyright Agent. All counter notifications must include:

# Assurance of Authenticity

Our goal is to be the most trusted platform for footwear, apparel and accessories.

Sourcing from the world’s premium boutiques and retailers, as well as our sellers and trusted network of partners, we aim to only sell authentic, high-quality products.

Our resale products and our trusted partners are verified or vetted by a variety of means, such as digital authentication, in-hand verification, and/or machine learning technology. By doing so, we seek to ensure the product you purchase is both authentic and as described. 

To support our verification process, we have logged hundreds of thousands of data points on products to evaluate their authenticity. Additionally, our team of authentication specialists goes through mandatory training and inspects details from the label to stitching, texture to color, and so much more.

If, when using Ship-to-Verify as your shipping method, your product is found to be inauthentic or not as described, we reserve the right – at our option and in our sole discretion – to provide you with the same item from a different seller or a full refund for your order.

For purchases where the item is shipped directly from one of our selected partners or sellers, we ask that you contact us to report an issue with your order. # GOAT Clean Terms & Conditions

By participating in GOAT Clean, you agree to the following terms and conditions:

## Participation
If you are interested in participating in GOAT Clean, please email [clean@goat.com](mailto:clean@goat.com) with a description of the item(s) you would like to submit.

* If GOAT deems that your item(s) are suitable for GOAT Clean, GOAT will notify you via email of the range of prices we believe we can list your item(s) under GOAT Clean along with a prepaid shipping label.

* If and only if you accept the range of prices GOAT provides, please use the prepaid shipping label provided by GOAT to send your item(s) to us. 

## Disqualified Items
Once GOAT receives the item(s), we will verify that the item(s) qualify for GOAT Clean. GOAT may, in its sole and reasonable discretion, reject item(s) for any reason. If GOAT rejects any item(s), we will notify you and you will have the option to have the item(s) sent back to you or consigned on your behalf with GOAT. If you choose to have the item(s) sent back to you, we will send you an invoice of $20 per shoe. If you choose to consign the item(s), GOAT will activate the listing(s) at 10% above the lowest price of the same item based on SKU, size and condition. If no lowest price exists, GOAT will set a price in its reasonable discretion (which may or may not be within the price range previously provided by GOAT) and activate the listing on your behalf. If you do not respond within 14 days of receiving notice that your item(s) do not qualify for GOAT Clean or if you do not pay the shipping invoice within 14 days of receipt, GOAT will consign the item(s) on your behalf and activate the listing(s) at 10% above the lowest price of the same item based on SKU, size and condition. If no lowest price exists, GOAT will set a price in its reasonable discretion (which may or may not be within the price range previously provided by GOAT) and activate the listing on your behalf.

## Qualifying Items
If GOAT determines in its sole and reasonable discretion that your item(s) qualify for GOAT Clean, GOAT will clean and grade the item(s) and use commercially reasonable efforts to list them at a price within the range previously provided by GOAT. If GOAT determines that based on market dynamics, the price should be lower than the lowest price of the range previously provided by GOAT, GOAT will notify you via email of the new range of prices for your item(s). If you do not approve of the price decrease, you will have three days to let us know that you do not agree with the price decrease. If you disagree with the price decrease, you will have the option to have item(s) sent back to you or to keep the item(s) listed at the current price. If you choose to have the item(s) sent back to you, we will send you an invoice for $60 which covers costs associated with storing, cataloging and photographing the item(s) in preparation for sale plus applicable shipping costs. If you do not respond within 3 days of receiving notice of the price decrease or if you do not pay the shipping invoice within 14 days of receipt, GOAT will decrease the price of the item(s) within the range stated in the email notice.  

## Seller Returns
You may request that GOAT return any qualifying item(s). If you make this request within 180 days of the item(s) being listed, then we will send you an invoice for $60 which covers costs associated with storing, cataloging and photographing the item(s) in preparation for sale plus applicable shipping costs. If you make this request after 180 days of the item(s) being listed, we will send you an invoice for $20 which covers applicable shipping costs.
 
## Commission Fees
A commission fee is only charged when an item is purchased. For items with a sale price of $350 and below, the commission fee is 30% and for all other items, the commission fee is 25%. The commission fee will be deducted from the sale price. When earnings are deposited through ACH direct deposit or PayPal, a 2.9% cashout fee will be applied.

# GOAT GROUP DROP-OFF POLICY

By participating in GOAT Group Drop-off, you agree to the following terms and conditions (these “Terms”). Any aspect of GOAT Group Drop-off and these Terms are subject to change or cancellation by GOAT Group at any time, with or without advance notice to you. GOAT Group may amend or update these Terms at any time by posting a revised version to the GOAT website at [www.goat.com](https://www.goat.com). By continuing to participate in GOAT Group Drop-off after such changes, you are indicating that you accept the Terms, as modified.

## WHAT IS GOAT GROUP DROP-OFF?

GOAT Group Drop-off is an option available to certain eligible sellers to drop off items sold on the GOAT platform at Flight Club Los Angeles, Flight Club New York, or Flight Club Miami instead of shipping the sold items to us.

## ELIGIBILITY

If you are a seller with a return address in your Profile that is close to Flight Club Los Angeles, Flight Club New York, or Flight Club Miami, you may be eligible to participate in GOAT Group Drop-off. If you are eligible to participate in GOAT Group Drop-off, after you confirm an order, you will be shown the option to either generate a prepaid shipping label or drop your items off at a Flight Club location near you. If this option does not automatically show up, you may not be eligible for GOAT Group Drop-off.

## DROP-OFF PROCEDURES

If, after you confirm an order, you choose the option to drop off your items at a Flight Club location near you, you will be asked to confirm that you can drop off your items within 72 hours at Flight Club between the hours of 11:00 AM ET and 5:00 PM ET (if you are dropping off at Flight Club New York), between the hours of 11:00 AM ET and 6:00 PM ET Monday through Saturday and between 12:00 PM ET and 5:00 PM ET on Sunday (if you are dropping off at Flight Club Miami), or between the hours of 11:00 AM PT and 5:00 PM PT (if you are dropping off at Flight Club Los Angeles). If you cannot drop off your items during those times, please choose the option to ship your items to us using a prepaid shipping label instead. If you need directions to a Flight Club location, select “Get Directions” on the confirmation page of your drop-off.

If you choose to drop off your items at Flight Club New York, please come to Flight Club New York with your items between 11:00 AM ET and 5:00 PM ET. If you choose to drop off your items at Flight Club Miami, please come to Flight Club Miami with your items between 11:00 AM ET and 6:00 PM ET Monday through Saturday and between 12:00 PM ET and 5:00 PM ET on Sunday.  If you choose to drop off your items at Flight Club Los Angeles, please come to Flight Club Los Angeles with your items between 11:00 AM PT and 5:00 PM PT. Once you have arrived at the relevant Flight Club Location, let a Flight Club associate know you are there to drop off your items and show them your Seller ID from the GOAT app.

Once the Flight Club associate has confirmed your Seller ID, they will accept your items and send them to our facility for verification by our specialists. Once your items have been authenticated, we'll deposit your earnings to your account for cash out. The order pages for the items you drop off will update to confirm when your items have been dropped off, when your items have been delivered to our facility, and when your items have been authenticated.

If your items are not dropped off at the relevant Flight Club location within 72 hours from your confirmation of the order, the sale will be canceled and your seller account will be reviewed.

### Is it safe to buy with GOAT?

We aim to be the most trusted platform for sneakers, apparel, and accessories. That’s why, if a purchased item does not ultimately meet our standards, we can offer you support through our Buyer Protection Policy.

The Buyer Protection Policy enables us to better serve our customers by providing help and assistance both prior to purchase and after. If something goes wrong with your order, we want to help fix it.

### In which situations does the Buyer Protection Policy apply?
The Buyer Protection Policy ensures coverage for you, the buyer, in the event your item is:

* received and deemed as inauthentic;
 
* received, but is an incorrect item;
 
* received, but does not match the item description or images;\*
 
* received, but is missing a key feature.\*\*
  
If one of the above scenarios applies to your purchase, please contact us as soon as you discover the issue but no later than three days from receipt of your item. You can contact us through our GOAT Assist feature located within the GOAT App on the Orders page or by [submitting a request](https://support.goat.com/hc/en-us/requests/new).

If you don’t already have the GOAT app, you can download it through either the [App Store](https://apps.apple.com/us/app/goat-sneakers-apparel/id966758561) or on [Google Play](https://play.google.com/store/apps/details?id=com.airgoat.goat&hl=en_US&gl=US).

\* Examples of items that do not match their description or photos include, but are not limited to, a pair of sneakers that arrive with scuffs that weren’t described as such nor photographed in their listing, pants that arrive with a tear in the leg, sunglasses with incorrect lens color, etc.

\*\* Examples of missing features include, but are not limited to, a parka without its hood attached, a bag missing the detachable shoulder strap, sneakers without their insoles, a backpack missing a zipper, etc.

### What happens once I submit my request to GOAT?
Once you submit your request, GOAT Assist may help you with your claim or a GOAT support specialist may follow up with you. 

In the event the item you received qualifies for a return under one of the scenarios listed above, we will provide you with a shipping label to be used to send the item to GOAT. Your item must be shipped within three business days of receiving the shipping label. Upon receipt, GOAT will verify that the item is in the same condition it was in when it was originally shipped to you. If your return is approved under this policy, you will receive a refund in GOAT Credit in the amount of your total purchase. If you would like a refund to your original payment method, please include that request when you contact GOAT support.

### How do you ensure shipping directly from sellers is safe?

The reviews you provide after accepting your order are important to us and our community of sellers as they help to create a safe and secure shopping network. By consistently providing feedback on your purchases, we are able to improve your experience and help our sellers continue to meet our quality standards.

If an item arrives in subpar packaging, doesn’t match its photos or description, or is missing a key feature, we want to know. This information allows us to correct your order and also helps us evaluate our sellers accordingly.

By rating these orders, you are helping to ensure both you, and all other buyers, have the best possible experience when shopping on GOAT.
In addition to the reviews and feedback provided by the GOAT community, we are able to create a safe and trusted platform through our digital authentication process. This is done by assessing an item’s photos and description prior to the listing of the item. If we believe an item is inauthentic or does not meet our quality standards, the item will not ultimately be listed on GOAT.

We also provide our sellers with GOAT shipping labels to ensure we can track your order every step of the way.

### What happens if I haven't received my order?

If you’re using the app, check the “Orders” tab in your Profile to make sure your order shipped. If it did, check the tracking number to see where the order is currently located. It is not uncommon for a courier to mark the order as delivered 2-3 days before it is actually delivered. You may also want to check with a roommate or neighbor to see if they accepted the package on your behalf. If you still have not received or been able to find your order, you can contact us by [submitting a request](https://support.goat.com/hc/en-us/requests/new).

# Gift Card Terms

GOAT gift cards are issued by 1661, Inc. d/b/a GOAT (“GOAT”, “we”, “us”, or “our”), a Delaware corporation. GOAT operates a website (“GOAT.com” or the “Site”), our mobile applications (the “Apps”), and any other properties that link to the [GOAT Terms of Use](https://goat.com/terms) (the “GOAT Terms”) (together with the Site and Apps, the “Service”).

These terms (“Gift Card Terms”) apply to all GOAT digital gift cards (“GOAT Gift Card(s)” or “Gift Card(s)”), and are a part of the GOAT Terms. By purchasing, accepting, or using a Gift Card, you are agreeing to be bound by these Gift Card Terms and the GOAT Terms. **The Gift Card Terms incorporate by reference the prohibition of class and representative actions and the binding arbitration provision as set forth in the GOAT Terms.** 

## GOAT Gift Cards

The Gift Cards are closed-loop digital/electronic gift cards, and are not debit or credit cards. No physical gift cards will be issued. The Gift Cards are issued by, and solely an obligation of, GOAT; provided, however, that GOAT may assign its obligations with respect to the Gift Cards at any time, in which case such assignee will become the issuer and sole obligor of the Gift Cards. Any information shared as a result of online purchases of Gift Cards will be subject to our [Privacy Policy](https://www.goat.com/privacy), which should be reviewed carefully.

## Purchase

Gift Cards can only be purchased on GOAT.com. A Gift Card can be purchased for any amount between $25 and $2,000. Gift Cards are currently only available for purchase in USD using either Apple Pay or a credit or debit card. The maximum value that can be purchased in Gift Cards in a 24-hour period is $10,000 by any one user.

When you purchase a Gift Card, a unique code will be sent to the recipient via email. Gift Cards may not be reloaded with additional value.

## Redemption

Gift Cards are redeemable towards the purchase of any eligible product listed online at GOAT.com or in the GOAT app (iOS only). Eligible products are subject to change in our sole discretion.

To redeem a Gift Card, enter the unique code associated with your Gift Card during checkout. The entire balance of the Gift Card will be automatically applied toward a purchase, unless the order total is less than the Gift Card’s remaining balance. If a purchase exceeds the Gift Card’s available balance, the remaining balance must be paid with another payment method. Upon redemption, any unused balance will remain on the Gift Card for future purchases.

You can redeem up to one (1) Gift Card per transaction. Although Gift Cards are denominated in USD, they can be redeemed in any currency supported on GOAT.

You may update your selected currency within your account preferences at any time. The foreign exchange rates applied are updated daily. GOAT takes no responsibility for the accuracy of any foreign exchange rate applied to your purchase or return.

Gift Cards can be used in tandem with debit or credit cards, GOAT Credit, PayPal, Apple Pay, Affirm (minimum purchase amount applies), Afterpay (minimum purchase amount applies), Klarna (minimum purchase amount applies), and Alipay.

## Limitations

Gift Cards cannot be returned, resold, canceled, used for unauthorized advertising, marketing, sweepstakes, promotional or commercial purposes. Gift Cards have no cash value and cannot be redeemed for more than face value, cash, or returned for a cash refund (except to the extent required by law). All sales of Gift Cards are final. 

Refunds for a return of products purchased using a Gift Card will be subject to GOAT’s [Purchases and Returns Policy](https://www.goat.com/returns), and will be in the form of GOAT Credit, except as otherwise determined by us in our sole and reasonable discretion or as required by law. All returns of products purchased using a Gift Card must be initiated by a user on the GOAT app while the user is logged into a registered GOAT Account, including purchases made as a Guest.

Gift Cards are not redeemable to purchase another Gift Card or toward a previous purchase.

Promotional codes cannot be applied to the purchase of a Gift Card.

## Balance Inquiries

For balance inquiries, please visit [www.goat.com/gift-cards/balance](https://goat.com/gift-cards/balance). The balance you receive when inquiring is an estimate only. In most cases, the balance is adjusted immediately when you make a purchase, but there may be occasions when the balance adjustment is delayed.

## Expiration & Fees

Gift Cards do not expire and will not be charged any inactivity or service fees.

## Use of Gift Cards in Violation of These Terms

By purchasing, accepting, or using a Gift Card, you agree to comply with these Gift Card Terms. We reserve the right, without notice to you, to void Gift Cards without a refund, suspend or terminate user accounts, suspend or terminate the ability to use the Service, cancel or limit orders, and bill alternative forms of payment if you violate these Gift Card Terms or use any Gift Card in a manner that we suspect or believe is fraudulent, misleading, deceptive, unfair, or otherwise harmful to GOAT, its affiliates, or its customers. 

## Risk of Loss

Title and risk of loss for Gift Cards pass to the purchaser upon our electronic transmission of the Gift Card to the purchaser or the designated recipient. Gift Cards must be purchased directly from GOAT. You are responsible for safeguarding your Gift Card from unauthorized use. GOAT will not be responsible if any Gift Card is lost, stolen, destroyed, or used without your permission. GOAT is not responsible and assumes no liability for any unlawful conduct or fraud by any third party associated with any Gift Card.

## Prohibition of Class and Representative Actions and Mandatory Binding Arbitration

These Gift Card Terms incorporate by reference the prohibition of class and representative actions and the binding arbitration provision set forth under the heading “Dispute Resolution” in the [GOAT Terms](https://www.goat.com/terms). **These binding arbitration provisions (the “Arbitration Provisions”) will require you to submit claims you have against us to binding and final arbitration, unless you opt out of the Arbitration Provisions by following the opt-out procedures described under the heading “Dispute Resolution” in the [GOAT Terms](https://www.goat.com/terms) or unless a limited exception applies. If you do not opt out of the Arbitration Provisions, you will only be permitted to pursue claims against us on an individual basis, and not as a plaintiff or class member in any class or representative action or proceeding, and you will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis. These Arbitration Provisions govern your access to, and use of, the Gift Cards and the Service and constitute a legally binding agreement between you and GOAT.** 

## Limitation of Liability, Controlling Law and Jurisdiction

These Gift Card Terms incorporate by reference the provisions under the headings “Limitation of Liability” and “Controlling Law and Jurisdiction” in the [GOAT Terms](https://www.goat.com/terms).

## Unclaimed Property

In the event you do not use your Gift Card for a certain period of time, we may be required to turn over the remaining Gift Card balance to a state under such state’s unclaimed or abandoned property law. Although your Gift Card does not expire, if we are obligated to turn over the remaining balance of your Gift Card under a state’s unclaimed property law, by operation of law, we will be released from any further liability or obligation with respect to your Gift Card. As a result, you may be required to contact the state’s unclaimed property administrator to attempt to recover your unused Gift Card balance. To protect your right to continue to use your remaining Gift Card balance, we will make reasonable efforts to contact you regarding next steps you can take that may exempt your Gift Card from state unclaimed property laws.

## General Terms

We reserve the right to make changes to these Gift Card Terms at any time in our sole discretion without special notice to you. Notice of changes will be by reasonable means, which may include the posting of the revised version of these Gift Card Terms on this page (“Updated Terms”) and revising the “Last Updated Date” at the top of these Gift Card Terms. Any change to the “Last Updated Date” shall constitute notice to you that the Gift Card Terms have changed. Your purchase, acceptance, or use of a Gift Card after we have posted the Updated Terms constitutes your agreement to the Updated Terms. The Updated Terms will be effective as of the time of posting, or such later date as may be specified in the Updated Terms, and will apply to your use of a Gift Card from that point forward.

All Gift Card Terms are applicable to the extent permitted by law. If any provision of these Gift Card Terms is deemed invalid, void, or for any reason unenforceable, such provision shall be deemed severable and will not affect the validity and enforceability of any remaining provisions of these Gift Card Terms.
